    Terms of Service

    1. Agreement Overview

    These Terms of Service ("Terms") govern the relationship between CU Digital ("we", "us", "our") and the client ("you", "your") for all digital marketing, web development, SEO, and consulting services we provide.

    By engaging our services, you agree to these Terms. We may update these Terms periodically, and continued use of our services constitutes acceptance of any changes.

    2. Services Description

    CU Digital provides digital marketing services including but not limited to:

    • Search Engine Optimization (SEO) and content strategy
    • Website design and development
    • AI consulting and implementation
    • Social media management
    • Brand identity and design
    • Local SEO and Google Business Profile optimization

    Specific deliverables, timelines, and scope are defined in individual project proposals or service agreements signed before work begins.

    3. Client Responsibilities

    To ensure successful project delivery, you agree to:

    • Provide timely feedback within agreed timeframes (typically 5 business days)
    • Supply necessary content, assets, and access credentials as requested
    • Designate a single point of contact for project decisions
    • Ensure all content you provide is accurate and does not infringe third-party rights
    • Make payments according to the agreed schedule

    Delays in providing feedback or materials may extend project timelines accordingly.

    4. Payment Terms

    Deposits: Project work typically requires a 50% deposit before commencement. Monthly retainer services are billed at the start of each month.

    Invoicing: Invoices are issued in Thai Baht (THB) unless otherwise agreed. Payment is due within 14 days of invoice date.

    Late Payment: Invoices overdue by more than 30 days may incur a 2% monthly late fee. We reserve the right to pause work on accounts with outstanding balances exceeding 45 days.

    Payment Methods: We accept bank transfer, credit card, and PayPal. Payment details are provided on each invoice.

    5. Intellectual Property

    Client Ownership: Upon full payment, you own all custom-created deliverables including website designs, content, and graphics created specifically for your project.

    CU Digital Ownership: We retain ownership of our proprietary tools, processes, templates, and methodologies. We may use non-confidential project examples in our portfolio with your permission.

    Third-Party Assets: Licenses for stock images, fonts, plugins, or software are transferred to you where possible, or you are responsible for maintaining appropriate licenses.

    6. Confidentiality

    We treat all client information as confidential. We will not disclose your business information, strategies, or data to third parties without your consent, except where required by law.

    This confidentiality obligation survives the termination of our business relationship.

    7. Limitation of Liability

    No Guarantees: We do not guarantee specific rankings, traffic levels, or revenue outcomes. SEO and digital marketing results depend on many factors outside our control.

    Liability Cap: Our total liability for any claim arising from our services is limited to the fees paid for those specific services in the preceding 12 months.

    Exclusions: We are not liable for indirect, incidental, or consequential damages including lost profits, business interruption, or data loss.

    8. Termination

    Project Cancellation: Either party may terminate a project with 14 days written notice. You are responsible for payment for all work completed up to the termination date.

    Retainer Cancellation: Monthly retainer services may be cancelled with 30 days written notice, effective at the end of the current billing period.

    Refunds: Deposits are non-refundable once work has commenced. Unused retainer fees are not refunded but may be applied to future services within 6 months.

    9. Dispute Resolution

    Governing Law: These Terms are governed by the laws of the Kingdom of Thailand.

    Dispute Process: Any disputes will first be addressed through good-faith negotiation. If unresolved within 30 days, disputes may be submitted to mediation or arbitration in Phuket, Thailand.
